ArtifAi Terms of Use

Welcome to ARTIFAI.

These Terms of Use ("Terms") govern your access to and use of the ARTIFAI website, services, content, products, applications, platforms, virtual artists, digital experiences, and related offerings (collectively, the "Services").

By accessing or using the Services, you agree to be bound by these Terms.

If you do not agree, please do not use the Services.

1. WHO WE ARE

ARTIFAI is an AI-native entertainment, media, technology, and intellectual property company that develops, produces, distributes, licenses, and commercializes creative works, virtual artists, digital personalities, AI-assisted content, music, audiovisual works, experiences, and related technologies.

2. ELIGIBILITY

You must be legally capable of entering into binding agreements under applicable law.

If you use the Services on behalf of a company or organization, you represent that you have authority to bind such entity.

3. OWNERSHIP OF ARTIFAI CONTENT

Unless otherwise stated, all content made available through the Services is owned by ARTIFAI or its licensors.

This includes:
 

  • Virtual artists 

  • Character names 

  • Character likenesses 

  • Voice models 

  • Music 

  • Lyrics 

  • Recordings 

  • Artwork 

  • Videos 

  • Logos 

  • Trademarks 

  • Graphics 

  • Software 

  • AI-generated assets 

  • Metadata 

  • Designs 

  • Databases 

  • Website content 


All rights are reserved.

No ownership rights are transferred through use of the Services.

4. VIRTUAL ARTISTS AND DIGITAL CHARACTERS

ARTIFAI's virtual artists, digital personalities, avatars, characters, voice models, likenesses, branding elements, and associated assets are proprietary intellectual property.
Users may not:

  • Recreate 

  • Clone 

  • Train AI systems on 

  • Modify 

  • Commercialize 

  • Redistribute 

  • Impersonate 

  • Derive works from 

 

such assets without ARTIFAI's prior written consent.

5. AI AND TECHNOLOGY DISCLAIMER

Certain Services may involve artificial intelligence, machine learning, automated systems, synthetic media, or technology-assisted creative processes.


Outputs generated through such technologies may contain limitations, inaccuracies, or subjective interpretations.


ARTIFAI does not guarantee that AI-generated outputs will be error-free, uninterrupted, or suitable for any specific purpose.

6. USER SUBMISSIONS

Users may voluntarily submit:

  • Music

  • Demos

  • Videos

  • Artwork

  • Concepts

  • Scripts

  • Proposals

  • Feedback

  • Business opportunities

  • Other materials

 

("Submissions").

By submitting materials to ARTIFAI, you represent that:

​

  • You own or control the necessary rights;

  • The materials do not infringe third-party rights;

  • You have authority to submit them.

 

Submission does not create:

​

  • Confidentiality obligations

  • Employment relationships

  • Agency relationships

  • Partnership relationships

  • Compensation obligations

 

unless separately agreed in writing.

7. UNSOLICITED IDEAS

ARTIFAI receives numerous creative concepts and may independently develop content similar to ideas submitted by third parties.

Accordingly:

ARTIFAI does not accept unsolicited submissions under any expectation of compensation, confidentiality, ownership, partnership, or licensing unless expressly agreed in writing before submission.

This is one of the most important provisions in the entire document.

8. PROHIBITED ACTIVITIES

Users may not:

•    Violate laws 
•    Infringe intellectual property rights 
•    Attempt unauthorized access 
•    Reverse engineer systems 
•    Scrape content 
•    Use automated bots without permission 
•    Circumvent security measures 
•    Misrepresent affiliation with ARTIFAI 
•    Create competing AI models using ARTIFAI assets 
•    Clone ARTIFAI virtual artists 
•    Use ARTIFAI content for AI training without authorization 

9. COPYRIGHT AND INTELLECTUAL PROPERTY COMPLAINTS

If you believe content infringes your rights, please contact:

ARTIFAI reserves the right to remove or disable access to content where appropriate.

10. THIRD-PARTY SERVICES

The Services may contain links to third-party websites, platforms, distributors, streaming services, social media services, or business partners.

ARTIFAI is not responsible for third-party services or their practices.

11. DISCLAIMERS

The Services are provided on an "AS IS" and "AS AVAILABLE" basis.

To the maximum extent permitted by law, ARTIFAI disclaims all warranties, including:

•    Merchantability 
•    Fitness for a particular purpose 
•    Non-infringement 
•    Availability 
•    Accuracy 
•    Reliability 

12. LIMITATION OF LIABILITY

To the fullest extent permitted by law, ARTIFAI shall not be liable for:

•    Indirect damages 
•    Consequential damages 
•    Lost profits 
•    Lost business opportunities 
•    Data loss 
•    Reputational harm 

arising from use of the Services.

ARTIFAI's aggregate liability shall not exceed the amount paid by the user to ARTIFAI during the twelve (12) months preceding the claim.

13. INDEMNIFICATION

Users agree to defend, indemnify, and hold harmless ARTIFAI, its affiliates, directors, officers, employees, contractors, licensors, and partners from claims arising from:

•    User conduct 
•    User submissions 
•    Violation of these Terms 
•    Infringement of third-party rights 

14. FUTURE SERVICES

ARTIFAI may introduce new:

•    Virtual artists 
•    AI products 
•    Creator tools 
•    Licensing platforms 
•    Marketplaces 
•    Media services 
•    Interactive experiences 

These Terms shall apply to such future offerings unless separate terms are provided.

This provision future-proofs the document.

15. TERMINATION

ARTIFAI may suspend, restrict, or terminate access to the Services at any time for violation of these Terms or for business, security, legal, or operational reasons.

16. GOVERNING LAW

These Terms shall be governed by the laws of the Republic of the Philippines.

Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Metro Manila, Philippines.

17. CHANGES TO THESE TERMS

ARTIFAI may update these Terms from time to time.

Continued use of the Services after updates constitutes acceptance of the revised Terms.
